1. Definitions
The following terms carry the meanings assigned below throughout this Agreement:
- "We," "Us," or "Our" β Red Seal Notary, a business operating at 25 Adelaide Street East, Suite 100, Toronto, ON M5C 3A1.
- "You" or "User" β any individual or organisation accessing our website or engaging with our programmes.
- "Services" β the Document Readiness Workshop, Corporate Paperwork Workflow Setup, and Multi-Site Appointment Coordination Program for HR Teams, together with related consultations and follow-up communications.
- "Site" β the website accessible at redzsealnota.click and all pages under that domain.
- "Content" β all text, materials, checklists, templates, handbooks, and other resources made available through the Services.
- "Agreement" β these Terms & Conditions, together with any written engagement letter or programme scope document signed by both parties.
2. Acceptance of Terms
By accessing the Site, submitting an enquiry form, or enrolling in any programme, you confirm that:
- You are at least 18 years of age, or are acting on behalf of an organisation with authority to bind it to this Agreement.
- You have read, understood, and agree to be bound by these Terms.
- You have the legal capacity to enter into a binding agreement under the laws of Ontario, Canada.
If you do not agree with any part of these Terms, please do not use the Site or engage with our Services.
3. Service Description
Red Seal Notary offers educational and administrative consulting services related to document handling and appointment logistics. Our programmes are:
A 90-minute informational session covering how paperwork appointments are typically organised, common identification requirements, and how to verify that records are in order before attending. Purely educational; no advice is offered on any individual matter.
A structured engagement providing intake routing design, naming schemes, retention timeline guidance, and training for organisations of 10β60 staff. Includes 60 days of written support after handover.
An operational consulting programme for multi-office employers covering scheduling models, capacity planning, and coordination documentation. Includes two review sessions and a quarterly check-in during the first year.
Services are available primarily to clients located in Ontario. Engagements with organisations in other Canadian provinces may be accommodated on a case-by-case basis. We reserve the right to adjust programme scope in consultation with the client where circumstances require it.
4. User Responsibilities
Acceptable use
You agree to use the Site and Services solely for lawful purposes and in a manner consistent with all applicable federal, provincial, and municipal laws and regulations.
Prohibited conduct
You must not:
- Reproduce, redistribute, or resell programme materials without our prior written consent.
- Misrepresent the source or nature of any Content obtained through our Services.
- Attempt to gain unauthorised access to any part of the Site or related systems.
- Transmit unsolicited communications, malicious code, or disruptive data to the Site.
- Use the Site or Services in a way that could harm our reputation or interfere with other users' experience.
- Provide false or misleading information in connection with an enquiry or programme enrolment.
5. Intellectual Property
All Content on the Site and within our programme deliverables β including workshop materials, checklists, glossary cards, workflow templates, handbooks, and coordination frameworks β is the intellectual property of Red Seal Notary or its licensors and is protected under Canadian copyright law.
We grant you a limited, non-exclusive, non-transferable licence to use Content solely for the internal administrative purposes for which it was delivered. This licence does not permit:
- Resale or redistribution of materials to third parties.
- Presentation of materials as your own original work.
- Use in training programmes offered commercially by your organisation without separate written agreement.
Editable template files provided as part of the Corporate Paperwork Workflow Setup may be adapted for your organisation's internal use without restriction.
6. Payment Terms
All fees are quoted in Canadian dollars and are subject to applicable taxes. Payment terms are specified in the engagement confirmation sent after initial scoping.
Cancellation and rescheduling
- Workshop cancellation 7+ days before: full credit toward a future session.
- Workshop cancellation within 7 days: no refund; credit may be granted at our discretion.
- Consulting engagements: fees paid for work already completed are non-refundable. Future milestone payments are not due if a project is terminated by the client with written notice before that milestone is reached.
We accept payment by electronic funds transfer (EFT) and major credit cards. Cheques are accepted for engagements of CAD 500 or more.
7. Service-Specific Terms
Document Readiness Workshop
Attendance is on a first-reserved basis. Registration is confirmed upon receipt of payment. Session recordings are not provided. Materials distributed are for attendee use only.
Corporate Paperwork Workflow Setup
Work begins after a written scope is agreed upon by both parties. The 60-day written support period covers clarification questions about the delivered workflow document and templates; it does not cover new scope added after handover. The client is responsible for scheduling internal staff for the training session.
Multi-Site Appointment Coordination Program
Site walkthroughs require the client to provide access to each location and appropriate staff contacts. The quarterly check-in in year one is scheduled by mutual agreement. Delays caused by the client's inability to provide required access or information may extend the programme timeline; pricing remains unaffected.
Confidentiality
Information shared with us during a consulting engagement is treated as confidential and used only to deliver the agreed programme. We do not share organisation-specific details with other clients or publicly.
8. Disclaimers
Information only. Our workshops and consulting programmes provide general information about administrative processes and organisational workflow. Nothing we deliver constitutes legal advice, notarial services, or advice on any individual legal matter. If you require legal advice, please consult a qualified solicitor or notary.
The Site and Services are provided on an "as available" basis. We make reasonable efforts to keep the Site operational but do not warrant that access will be uninterrupted or error-free.
We do not warrant that the outcomes of our programmes will meet any specific organisational targets or produce any particular results. Each organisation's circumstances differ and results will vary.
9. Limitation of Liability
To the fullest extent permitted by applicable Ontario law:
- Red Seal Notary's total liability to you for any claim arising from or in connection with these Terms or the Services will not exceed the fees paid by you for the specific programme to which the claim relates.
- We are not liable for any indirect, consequential, incidental, or special damages, including loss of profits, data, or business opportunity, even if we have been advised of the possibility of such losses.
- We are not liable for delays or failures caused by events outside our reasonable control, including but not limited to infrastructure outages, labour disputes, natural events, or public health measures.
Nothing in this clause limits liability for fraud, personal injury caused by negligence, or any other matter that cannot lawfully be excluded under Ontario law.
10. Indemnification
You agree to indemnify and hold harmless Red Seal Notary, its principals, and contractors from any claims, costs, damages, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your misuse of programme materials; or (c) inaccurate information you provided in connection with an engagement. This obligation survives termination of the Agreement.
11. Termination
Either party may terminate an engagement by providing written notice. For multi-week consulting programmes, notice must be given at least five (5) business days before the next scheduled milestone or session.
We reserve the right to suspend or terminate access to the Site or Services without prior notice if we reasonably believe you have breached these Terms or engaged in conduct that could harm us or other users.
Sections covering intellectual property, disclaimers, liability, indemnification, and dispute resolution survive termination of the Agreement.
12. Dispute Resolution
We encourage you to contact us at [email protected] before initiating any formal proceeding. Most concerns can be resolved through direct discussion within 15 business days.
Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law rules. You agree to submit to the exclusive jurisdiction of the courts of Ontario, sitting in the City of Toronto, for any dispute that cannot be resolved informally.
Mediation
If informal resolution fails, the parties agree to attempt mediation in Toronto under the ADR Institute of Ontario's mediation rules before commencing litigation. The costs of mediation will be shared equally unless otherwise agreed.
13. General Provisions
- Entire agreement. These Terms, together with any written programme engagement letter, constitute the entire agreement between the parties on the subject matter and supersede all prior discussions or representations.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full effect.
- Waiver. Failure to enforce any provision of these Terms on one occasion does not waive the right to enforce it on future occasions.
- Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights to a successor entity in connection with a corporate reorganisation.
- Notices. Formal notices under these Terms should be sent by email to [email protected] or by mail to our Toronto address. Notices are deemed received the next business day after sending.
14. Changes to These Terms
We may update these Terms periodically to reflect changes in our services, applicable legislation, or regulatory guidance. We will post the revised Terms on this page with an updated "Last Updated" date.
For active consulting engagements, material changes will be communicated by email at least 14 days before they take effect. Continued use of the Site or Services after the effective date constitutes acceptance of the revised Terms.
